Client Responsibilities

The Client agrees to:

Provide accurate information required for the project.
Provide logos, images, text, branding materials, and required assets.
Ensure supplied content is legally owned or properly licensed.
Review submitted work within agreed timelines.
Provide approvals and feedback when required.
Cooperate throughout the project.

Tim Intellects shall not be responsible for delays caused by missing information or delayed client responses.

Project Scope and Changes

All work will be completed according to the approved quotation, proposal, or service agreement.

Any request outside the agreed project scope will be treated as additional work and may require additional fees and revised timelines.

Project Approvals and Delivery

Projects are completed in agreed phases. Each phase begins after required information, approvals, and payments are received.

Completed websites may be uploaded to a staging environment for client review. After final approval and full payment, the website will be deployed to the live server.

Tim Intellects reserves the right to delay final deployment until all outstanding payments are cleared.

Project files and source code will be delivered after full payment.

Payment Terms

Payments are due according to agreed milestones.
Delayed payments may result in project suspension.
Ownership transfers only after full payment completion.
Additional charges may apply for overdue payments where permitted.

Intellectual Property

All intellectual property rights remain with Tim Intellects until full payment has been received.

After full payment, ownership of the final approved website and agreed deliverables will transfer to the Client.

Tim Intellects retains ownership of:

Reusable code libraries
Development frameworks
Internal tools
Development methods
General programming components

Portfolio Rights

Unless otherwise agreed in writing, Tim Intellects may display completed projects, screenshots, and project details in our portfolio and marketing materials.

Website Warranty

Tim Intellects provides a 30-day warranty after project completion for fixing programming errors directly related to our work.

The warranty does not cover:

Third-party plugins
Hosting issues
Server problems
Client modifications
New feature requests
External software issues

Website Maintenance

Unless covered under a separate maintenance agreement, project completion does not include future updates, security monitoring, backups, or technical support.

Third-Party Services

Projects may include third-party services such as themes, plugins, APIs, hosting providers, payment gateways, or other external tools.

Tim Intellects is not responsible for issues caused by third-party providers.

SEO and Digital Marketing Disclaimer

Tim Intellects does not guarantee specific search engine rankings, traffic, sales, leads, or marketing results.

Results depend on various external factors including competition, market conditions, budgets, and platform algorithms.

Domain and Hosting

Unless included in a separate agreement, the Client is responsible for:

Domain registration and renewal
Hosting services
SSL certificates
Website backups
Third-party subscriptions

Confidentiality

Both parties agree to keep confidential information shared during the project and not disclose it to third parties without permission.

Return and Refund Policy

Refunds and cancellations are governed by the applicable service agreement.

Cancellation requests must be submitted in writing.
Completed work payments are non-refundable.
Deposits and milestone payments may not be refundable after work begins.

Third-Party Links

Our website may contain links to third-party websites. Tim Intellects is not responsible for their content, availability, or privacy practices.

Disclaimer

The website and services are provided on an “as is” and “as available” basis without warranties of any kind.

Limitation of Liability

Tim Intellects shall not be liable for indirect damages, loss of profits, loss of business, loss of data, or other consequential damages.

Our total liability shall not exceed the amount paid by the Client for the specific service.

Force Majeure

Tim Intellects shall not be responsible for delays caused by events beyond our reasonable control including natural disasters, internet failures, cyber attacks, government actions, or other unforeseen circumstances.

Termination

Tim Intellects may suspend or terminate services if these Terms are violated, payments remain overdue, or unlawful activity occurs.

Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.

Changes to These Terms

Tim Intellects reserves the right to update these Terms at any time. Updated Terms will be published on this page with a revised date.

Entire Agreement

These Terms together with accepted proposals, agreements, and Privacy Policy represent the complete agreement between Tim Intellects and the Client.
